Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the MyNextBusiness platform at mynextbusiness.co.uk and its associated applications (the “Platform”), operated by 4-Dimensions Media Network Ltd (registered in England and Wales, company number 10810404) of Suite 1 (First Floor), 239 High Road, Ilford, United Kingdom, IG1 1NE (the “Operator”, “we”, “us”). By creating an account or using the Platform you agree to these Terms. If you do not agree, you must not use the Platform.

The Platform is intended for business and professional users — people and organisations buying, selling, or investing in businesses in the course of business. It is not intended for consumers acquiring goods or services for personal use.

1. What the Platform is (and is not)

The Platform is a premium marketplace that introduces buyers, sellers, investors, brokers and advisers of businesses, and provides tools to discover, evaluate, communicate about, and progress potential business acquisitions in an identity-protected environment.

The Operator is an introduction and communication platform only. We are not a party to any transaction between users; we are not a broker, agent, adviser, business-transfer agent, or fiduciary for any user; and we do not give financial, investment, tax, accounting or legal advice. We do not process, hold, escrow or transmit the purchase price of any business — completion is conducted directly between the parties and their solicitors. Listings and information are provided by users, not by us, and we do not endorse or guarantee them.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract, and you use the Platform for business or professional purposes.
  • Registration is open to buyers and sellers. Staff, advisory and administrative roles are created by the Operator only and cannot be self-registered.
  • You must provide accurate information, keep it up to date, keep your credentials secure, use two-factor authentication where required, and are responsible for activity under your account.
  • You must not create accounts by automated means, impersonate others, or hold multiple accounts to evade restrictions.

3. Verification and identity protection

Access to sensitive information is staged. Public listings are anonymised (region-level location, indicative financial bands, and an opaque reference). To progress an enquiry you must complete the Platform’s qualification steps, which may include identity verification, proof of funds, and acceptance of a Non-Disclosure Agreement. The seller’s identity and the business’s detailed information are disclosed only after those steps are completed. You must not attempt to circumvent anonymisation or identify a business other than through information disclosed to you for a permitted purpose.

Verification is a trust feature of the marketplace. Where the Platform indicates that a user or item has been verified, this reflects the checks carried out at the relevant time and is not a guarantee. You must not rely solely on another user’s verification status and remain responsible for your own due diligence.

4. Listings and seller obligations

If you list a business, you represent that you own it or are authorised to offer it for sale, and that the information you provide is accurate and not misleading. Listings pass through a review workflow and require approval before publication; approval is a completeness and plausibility check, not a verification of accuracy or a guarantee. You are responsible for the lawfulness and accuracy of your Listing and for compliance with applicable law when selling a business.

5. Acceptable use

You must not:

  • post false, misleading, fraudulent or unlawful information, or list a business you have no right to sell;
  • use the Platform to launder money, evade sanctions, or for any illegal purpose;
  • harass, defraud, or abuse other users, or contact them outside the Platform to circumvent these Terms or confidentiality obligations;
  • scrape, harvest, index, or bulk-extract data, or use bots or automated access except as we expressly permit;
  • upload malware, attempt to breach security or access controls, probe or test the vulnerability of the Platform, or access data not intended for you; or
  • infringe intellectual property or misuse confidential information disclosed to you.

6. Communications, offers and deal rooms

The Platform provides messaging, data rooms and an offer/negotiation workflow. Offers made through the Platform are expressions of interest that become binding only if and when the parties enter into a separate, definitive written agreement prepared and executed with their own legal advisers. Marking a deal as complete on the Platform is an administrative record only and does not itself transfer any business, asset, or money, nor create a binding sale.

7. Fees

Use of the core marketplace is currently provided without charge to buyers and sellers. The Operator may introduce fees for certain services (for example featured placement, subscriptions, or listing services) in the future. Where fees apply, they will be clearly disclosed before you incur them, and the applicable payment terms will be presented at the point of purchase. These Terms do not entitle you to any paid feature that has not been made available.

8. Intellectual property

The Platform, its software, design, branding and content (excluding user content) are owned by the Operator or its licensors and are protected by law. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You retain ownership of content you submit, and grant the Operator a licence to host, display and process it to operate the Platform, in accordance with the Privacy Policy.

9. Suspension and termination

We may suspend or terminate your access, remove content, or restrict features if we reasonably believe you have breached these Terms or applicable law, to protect users or the Platform, or to comply with a legal or regulatory obligation. You may close your account at any time. Provisions that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the extent permitted by law, we do not warrant that the Platform will be uninterrupted, error-free, or secure, or that information provided by users is accurate, complete or reliable. Any decision to buy, sell, or invest in a business is made at your own risk and on your own professional advice.

11. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to that, and to the extent permitted by law: (a) the Operator is not liable for the acts, omissions, information, or conduct of any user, or for the accuracy or outcome of any transaction; (b) the Operator is not liable for indirect or consequential loss, or for loss of profit, business, goodwill, opportunity, or data; and (c) the Operator’s total aggregate liability arising out of or in connection with the Platform and these Terms is limited to £100 (one hundred pounds). You acknowledge that the Platform is provided without charge and that this limitation is reasonable in that context.

12. Indemnity

As a business user, you agree to indemnify the Operator against losses, liabilities and reasonable costs arising from your breach of these Terms, your misuse of the Platform, your Listings or content, or your infringement of the rights of any third party, to the extent permitted by law.

13. Changes to the Terms or Platform

We may update these Terms from time to time. Where changes are material, we will give reasonable notice (for example by email or an in-Platform notice). Your continued use after the changes take effect constitutes acceptance. We may also change, suspend, or withdraw features of the Platform.

14. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
